1. Acceptance of Terms

By accessing, browsing, or using AMC-Connect (the "Platform"), including our website, Chrome browser extension, and related services, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use our Platform.

These Terms constitute a legally binding agreement between you (the "User" or "you") and ieIMPACT Technologies Inc. ("AMC-Connect," "we," "us," or "our"). By creating an account or using any part of our services, you represent that you have read, understood, and agree to be bound by these Terms.

2. Service Description

AMC-Connect is a Software-as-a-Service (SaaS) platform that connects licensed real estate appraisers with Appraisal Management Companies (AMCs). Our Platform provides:

• AMC Discovery: Browse and search a curated database of AMC companies across the United States
• Multi-Step Registration: Comprehensive appraiser profile builder with credential verification
• Chrome Extension: Browser extension for autofill functionality and streamlined AMC application submissions
• AI-Powered Support: Intelligent chatbot assistance powered by OpenAI GPT-4o for platform support and guidance
• Document Management: Secure storage and management of professional credentials, licenses, and certificates
• AMC Outreach: Professional email templates and outreach tools for contacting AMCs
• Subscription Management: Flexible pricing plans with monthly, yearly, and one-time payment options

AMC-Connect acts solely as a technology platform facilitating connections. We are not a party to any agreements between appraisers and AMCs, nor do we provide appraisal services or AMC management services.

3. User Eligibility and Account Registration

3.1 Eligibility Requirements

To use AMC-Connect, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Be a licensed or certified real estate appraiser in the United States
• Maintain current, valid professional credentials and Errors & Omissions (E&O) insurance
• Have the legal authority to enter into binding contracts
• Provide accurate, complete, and truthful information during registration
• Not be prohibited from using our services under applicable laws

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and two-factor authentication (2FA) codes. You agree to:

• Use a strong, unique password and enable 2FA when available
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with third parties

3.3 Account Accuracy

You agree to keep your account information current, complete, and accurate. This includes professional licenses, contact information, service areas, and credential expiration dates. Failure to maintain accurate information may result in account suspension or termination.

4. Acceptable Use Policy

You agree to use our Platform only for lawful, legitimate business purposes. You may not:

• Use the Platform for any unlawful, fraudulent, or deceptive purpose
• Impersonate any person or entity, or falsely represent your credentials
• Upload, transmit, or distribute malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems, servers, or networks
• Engage in data scraping, harvesting, or automated data collection without permission
• Reverse engineer, decompile, or disassemble any part of our Platform or Chrome extension
• Interfere with or disrupt the Platform's operation, security, or performance
• Use the Platform to spam, harass, or send unsolicited communications
• Violate any AMC company's terms, policies, or registration requirements
• Share, resell, or sublicense access to your account or our services
• Remove, obscure, or alter any proprietary notices or labels

Violation of this Acceptable Use Policy may result in immediate account suspension or termination, with or without notice, and possible legal action.

5. Subscription Plans, Payment, and Billing

5.1 Subscription Plans

AMC-Connect offers multiple subscription tiers with varying features and quota allocations:

• Free Tier: Limited access to basic features and AMC browsing
• Paid Subscriptions: Enhanced features including Chrome extension access, autofill functionality, AMC outreach tools, and increased quotas
• Billing Cycles: Monthly, yearly, or one-time payment options as specified on the Pricing page

5.2 Payment Processing

All payments are processed securely through Stripe, Inc. ("Stripe"), a third-party payment processor. By purchasing a subscription, you agree to:

• Provide accurate and complete payment information
• Authorize AMC-Connect to charge your payment method for the subscription amount
• Comply with Stripe's Terms of Service and Payment Terms
• Update your payment information promptly if it changes or expires

5.3 Automatic Renewal

Recurring subscriptions (monthly or yearly) automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate. We reserve the right to modify pricing with 30 days' advance notice.

5.4 Cancellation and Refunds

• Subscription Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect immediately, and no refunds are provided for partial billing periods
• Quota Refunds: Purchased quotas (autofill credits, AMC registration quotas) are non-refundable once purchased
• Unused Quotas: Unused quotas do not expire and remain available even after subscription cancellation
• Exceptional Refunds: Refunds may be issued at our sole discretion for technical errors or billing mistakes

5.5 Taxes

All fees are exclusive of applicable federal, state, and local taxes, duties, or levies (collectively, "Taxes"). You are responsible for paying all Taxes associated with your purchase, except for taxes based on our net income.

5.6 Failed Payments

If a payment fails due to insufficient funds, expired cards, or other reasons, we may suspend access to paid features until payment is resolved. Repeated payment failures may result in account termination.

6. Chrome Extension Terms

6.1 Extension Purpose

Our Chrome browser extension ("Extension") provides autofill functionality to streamline AMC registration forms by automatically populating fields with your stored profile information.

6.2 Data Collection and Use

The Extension collects and uses data solely for the stated purpose of autofilling registration forms. We adhere to the Chrome Web Store Limited Use Policy, which prohibits:

• Selling or transferring user data to third parties
• Using data for personalized advertising
• Collecting browsing activity unrelated to the Extension's core functionality

6.3 Quota System

Autofill functionality is subject to quota limits based on your subscription tier. Quotas track:

• Number of autofill operations per billing period
• Domain-level quota reuse within a configurable window
• Monthly quota resets for recurring subscriptions

6.4 Extension Updates

We may update the Extension from time to time to add features, fix bugs, or improve performance. Updates are delivered automatically through the Chrome Web Store. Continued use of the Extension after updates constitutes acceptance of the updated functionality.

7. AI Chatbot Services

Our Platform includes an AI-powered chatbot ("AI Assistant") powered by OpenAI's GPT-4o model to provide support and guidance.

7.1 AI Assistant Limitations

• The AI Assistant provides general information and support but is not a substitute for professional advice
• AI-generated responses may contain errors, inaccuracies, or outdated information
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• You should independently verify critical information before relying on it

7.2 Conversation Data

Chatbot conversations are stored to improve service quality and provide conversation history. By using the AI Assistant, you consent to the processing of your chat messages by OpenAI in accordance with OpenAI's Terms of Use and our Privacy Policy.

8. Intellectual Property Rights

8.1 Platform Ownership

AMC-Connect and all related software, technology, content, trademarks, logos, and intellectual property are owned by ieIMPACT Technologies Inc. and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose.

8.2 User Content Ownership

You retain all ownership rights to your submitted documents, credentials, profile information, and other user-generated content ("User Content"). By uploading User Content, you grant AMC-Connect a worldwide, royalty-free, non-exclusive license to use, store, process, and transmit your User Content solely for the purpose of providing and improving our services.

8.3 Feedback

If you provide feedback, suggestions, or ideas regarding our Platform, you grant AMC-Connect a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

9. Third-Party Services and Links

Our Platform integrates with third-party services, including but not limited to:

• Stripe: Payment processing (subject to Stripe's Terms of Service)
• OpenAI: AI chatbot functionality (subject to OpenAI's Terms of Use)
• SendGrid: Email delivery services
• AMC Websites: External registration portals and application systems

We are not responsible for the content, policies, or practices of third-party websites or services. Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review those terms before engaging with external services.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AMC-CONNECT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE RESULTS OBTAINED FROM USING THE PLATFORM

We do not guarantee that:

• AMC companies will accept your applications or offer you work
• The Platform will meet your specific requirements or expectations
• All features will be available at all times or in all jurisdictions
• Defects or errors will be corrected within any specific timeframe

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMC-CONNECT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• DAMAGES RESULTING FROM THIRD-PARTY SERVICES, INCLUDING AMC DECISIONS OR ACTIONS
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• ERRORS, OMISSIONS, INTERRUPTIONS, DELETIONS, OR DELAYS IN OPERATION

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO AMC-CONNECT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless AMC-Connect, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Platform
• Your violation of these Terms or applicable laws
• Your User Content or any infringement of third-party rights
• Your interactions with AMC companies or other third parties through the Platform
• Any breach of your representations and warranties

13. Service Modifications and Termination

13.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We will make reasonable efforts to notify you of material changes that significantly reduce functionality.

13.2 Termination by You

You may terminate your account at any time through your account settings. Upon termination, your access to paid features will cease immediately, and no refunds will be issued for unused subscription time or quotas.

13.3 Termination by Us

We may suspend or terminate your account immediately, with or without notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your account shows signs of fraudulent or illegal activity
• You fail to pay subscription fees or chargebacks occur
• You provide false or misleading information
• We are required to do so by law or legal authority

13.4 Effect of Termination

Upon termination, all licenses and rights granted to you will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) will continue to apply.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at Support@ieimpact.com to attempt to resolve the matter informally. We will make good-faith efforts to resolve disputes amicably.

14.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in California, United States, and judgment on the award may be entered in any court having jurisdiction.

14.3 Class Action Waiver

YOU AND AMC-CONNECT AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

14.4 Exceptions

Either party may seek equitable relief in court for intellectual property infringement or unauthorized access to the Platform.

15. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information in compliance with applicable data protection laws, including GDPR and CCPA. By using our Platform, you consent to the data practices described in our Privacy Policy.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or third-party service outages.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated via:

• Email notification to your registered email address
• Prominent notice on the Platform
• In-app notifications

Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use and may terminate your account.

18. General Provisions

18.1 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in California.

18.2 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and AMC-Connect and supersede all prior or contemporaneous communications and proposals.

18.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

18.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated herein.
