Terms of Service & Liability Limitation Agreement

IMPORTANT NOTICE

By accessing, using, or purchasing AMC-Connect ("Service"), you ("Appraiser," "User," or "Client") agree to be bound by these Terms of Service ("Agreement"). If you do not agree, do not use the Service.

  • 5.Refunds: All purchases are final. Refunds, if granted, are limited to the amount paid.

1. Nature of Service — Not an Approval Guarantee

AMC-Connect is a submission and workflow automation tool.

We transmit applications and documents exactly as provided by the Appraiser to participating Appraisal Management Companies ("AMCs").

  • We do not guarantee AMC approval, onboarding, panel acceptance, engagement, or assignment volume.
  • Approval decisions are solely at the discretion of each AMC.
  • The Appraiser acknowledges that AMC-Connect provides no assurance—explicit or implied—that use of the Service will result in new business or orders.

2. Appraiser Responsibility for Accuracy, Completeness & Legitimacy of Data

You are 100% responsible for the truthfulness, accuracy, completeness, and currency of:

  • Personal information
  • Licensing data
  • Resumes, credentials, and E&O documents
  • Work history and experience
  • AMC-specific questionnaire responses
  • Any uploaded files or attachments

AMC-Connect does not review, validate, audit, or correct any information.

We transmit what you provide. All verification is your responsibility.

3. Limitation of Liability (Strict Cap)

To the maximum extent permitted by law:

Our total aggregate liability for any claim, loss, or dispute arising from your use of AMC-Connect is strictly limited to the total fees you paid for the Service.

Example:

If you purchased the MAX package for $299, our maximum liability to you is $299—no exceptions.

This cap applies to all claims, including:

  • Contract
  • Negligence
  • Errors or omissions
  • Data submission issues
  • Application delays
  • Technical or system errors

If you paid $0 (Free Tier), then our liability to you is $0.

4. No Consequential or Indirect Damages

Under no circumstances will we be liable for:

  • Lost orders
  • Lost income
  • Lost business opportunities
  • Loss of AMC clients
  • Reputational harm
  • Business interruption
  • Any claimed future earnings or potential deals

In other words:

You cannot claim that using AMC-Connect cost you $50,000+ in work and attempt to recover it from us.

Only the fee you paid is ever recoverable—nothing beyond that.

5. Indemnification

You agree to defend, indemnify, and hold harmless ieIMPACT Technologies, MILKAI LLC, and their owners, employees, and contractors from any claims, damages, penalties, investigations, or losses arising from:

  • Incorrect, outdated, falsified, or misleading information you provide
  • Invalid licensing or expired documents
  • Misrepresentation of your credentials or experience
  • Failure to comply with AMC requirements
  • Your violation of AMC-specific terms or regulatory obligations

If your data creates a problem with an AMC or regulator, you—not us—bear the consequences.

6. Data Handling, Privacy & Processor Role

We act solely as a data processor—not an advisor, consultant, or compliance reviewer.

  • We transmit the data you provide to the AMCs you choose.
  • We do not modify your information unless required for technical formatting (e.g., converting file types).
  • We do not make recommendations or decisions on your behalf.

Data Ownership:

  • You retain full ownership of your data.
  • You grant us the limited right to store, process, and transmit that data for the purposes of AMC application submission.
  • We are not responsible for AMC data practices once information is transmitted.

7. No Professional, Legal, or Compliance Advice

AMC-Connect does not provide legal, regulatory, valuation, compliance, or credentialing advice.

Any statements made by our staff or support team are not professional guidance.

You are responsible for:

  • Ensuring your licensing is valid
  • Understanding AMC requirements
  • Meeting regulatory obligations
  • Determining whether AMC-Connect is appropriate for your situation

8. Technical Limitations & Service Interruptions

You acknowledge that:

  • The Service may experience outages, errors, or downtime.
  • AMC websites may be unavailable, change structure, or reject submissions.
  • Chrome extensions may not function on all websites.

You agree that such issues do not constitute grounds for damages beyond the fee-refund limit stated.

9. Refund Policy

All purchases are final unless explicitly stated otherwise.

Refunds, if granted, are limited strictly to the amount paid.

10. Termination for Misuse

We may suspend or terminate your access if:

  • You provide fraudulent or misleading data
  • You abuse the platform
  • You misuse the Chrome extension
  • You violate this Agreement

No refunds will be provided for violations of terms.

11. Governing Law & Dispute Resolution

  • This Agreement is governed by the laws of the State of California.
  • Any disputes must be resolved through binding arbitration in Santa Clara County, California.
  • Class actions are waived. You agree to individual arbitration only.

12. Acceptance of Terms

By using AMC-Connect, purchasing any package, submitting data, or accessing the Chrome extension, you acknowledge:

  • You have read this Agreement
  • You understand it
  • You accept it without modification

If you do not agree, do not use the Service.

Service Description

AMC-Connect is a Software-as-a-Service (SaaS) platform that connects licensed real estate appraisers with Appraisal Management Companies (AMCs). Our Platform provides:

  • AMC Discovery: Browse and search a curated database of AMC companies across the United States
  • Multi-Step Registration: Comprehensive appraiser profile builder with credential verification
  • Chrome Extension: Browser extension for autofill functionality and streamlined AMC application submissions
  • AI-Powered Support: Intelligent chatbot assistance powered by OpenAI GPT-4o for platform support and guidance
  • Document Management: Secure storage and management of professional credentials, licenses, and certificates
  • AMC Outreach: Professional email templates and outreach tools for contacting AMCs
  • Subscription Management: Flexible pricing plans with monthly, yearly, and one-time payment options

User Eligibility and Account Registration

Eligibility Requirements: To use AMC-Connect, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Be a licensed or certified real estate appraiser in the United States
  • Maintain current, valid professional credentials and Errors & Omissions (E&O) insurance
  • Have the legal authority to enter into binding contracts
  • Provide accurate, complete, and truthful information during registration
  • Not be prohibited from using our services under applicable laws

Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password and two-factor authentication (2FA) codes.

Subscription Plans, Payment, and Billing

AMC-Connect offers multiple subscription tiers with varying features and quota allocations. All payments are processed securely through Stripe, Inc. Recurring subscriptions automatically renew at the end of each billing period unless canceled.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect immediately, and no refunds are provided for partial billing periods. Purchased quotas are non-refundable once purchased.

Chrome Extension Terms

Our Chrome browser extension provides autofill functionality to streamline AMC registration forms. The Extension collects and uses data solely for the stated purpose of autofilling registration forms. We adhere to the Chrome Web Store Limited Use Policy.

Autofill functionality is subject to quota limits based on your subscription tier.

AI Chatbot Services

Our Platform includes an AI-powered chatbot powered by OpenAI's GPT-4o model. The AI Assistant provides general information and support but is not a substitute for professional advice. AI-generated responses may contain errors, inaccuracies, or outdated information. You should independently verify critical information.

Intellectual Property Rights

AMC-Connect and all related software, technology, content, trademarks, logos, and intellectual property are owned by ieIMPACT Technologies Inc. and its licensors. You retain all ownership rights to your submitted documents, credentials, profile information, and other user-generated content.

Third-Party Services

Our Platform integrates with third-party services, including Stripe (payment processing), OpenAI (AI chatbot), SendGrid (email delivery), and AMC websites. We are not responsible for the content, policies, or practices of third-party websites or services.
